1. Definitions | scope of application
1.1. ISNP International School for Neuropelveology GmbH (Commercial Register No. CHE-114.839.995,
hereinafter “ISNP” or the “company”) offers a variety of distance learning opportunities in the fields
of neuropelveology, including an education program designed to provide theoretical knowledge in
clinical neuropelveology and technical skills in laparoscopic neurofunctional pelvic surgery
according to three levels.
The e-learning program is composed of several online modules and a final online examination. In
the following practical workshops technical skills are provided by laparoscopic dissection on
cadavers.
1.2. These General Terms and Conditions (“GTC”) are an integral part of all relationships and
agreements concluded between ISNP and customers/purchasers/participants (including attendees
to the education program and users of the company’s website) of ISNP’s products and services
(hereinafter “customer” or “user”).
1.3. ISNP fulfils its services exclusively on the basis of these GTC. Dissenting, conflicting or additional
declarations of the customer, even if reference is made during the registration process, do not
become part of the agreement between customer and ISNP (hereinafter the “parties”), unless their
validity is expressly agreed upon in writing by ISNP.
2. Registration and purchase | validity of offers
2.1. Registration to e-learning programs is made by filling out an online form on ISNP’s website
(www.isnp-gmbh.com). Each registration shall constitute a separate contract between the parties
based upon the terms of the relevant invoice and GTC in force.
Upon receipt of both the registration and payment (per PayPal, credit card), the customer will be
sent a confirmation of registration as well as a receipt by e-mail. In case of payment by bank
transfer, the customer will be sent a preliminary confirmation as well as an invoice per e-mail.
2.2. As the number of possible program participants is generally limited, program spaces are allocated
in the order ISNP has established receipt of the customer’s payment in full.
ISNP reserves the right to suspend or refuse to confirm the customer’s registration, if, but not
exclusively:
- the registration is incomplete or incorrect;
- the customer does not meet special requirements for participation in the education program;
- prior orders by the customer have not yet been paid or the customer’s bank has refused to
2.3. ISNP’s offers are valid as long as they are published and accessible on the company’s website.
Notwithstanding section 6 of these GTC, ISNP reserves the right to make technical and other
changes to its offers within reason.
3. Payment terms | registration fee
3.1. The registration fee is due immediately and without any deduction upon ordering.
3.2. The registration is binding for the customer upon ordering. ISNP will confirm the receipt of the
customer's order immediately. A program space is guaranteed upon receipt of the full registration
fee on the bank account of ISNP.
4. Prices, VAT | partial payment | default in payment
4.1. The current valid prices for all products and services of the company are accessible at any time at
www.isnp-gmbh.com.
The prices mentioned on the company’s website are subject to change without prior notice. The
final prices are those mentioned in the invoice sent to the customer.

4.2. Unless explicitly stated otherwise, all prices listed by ISNP are excluding VAT. Upon invoicing, the
statutory VAT, if any, will be added to these prices.
4.3. ISNP reserves the right, at its own discretion, to implement milestone billing plans for agreements
entailing partial performance.
4.4. In case of default in payment, the customer is obliged to pay default interest. If the customer
qualifies as a consumer/end-user, the amount of interest charged will be 5 percentage points above
the base rate. If the customer is a business entity, the interest charged will be 8 percentage points
above the base rate. In addition, ISNP reserves the right to claim damages and to charge late fees
in the amount of EUR 50.00 for every payment reminder. The parties explicitly agree that ISNP is
entitled to claim effective fee collection costs exceeding this amount.
4.5. ISNP is entitled, in case of payment default, to block the customer’s access to the education
program and to all other services offered by the company.
5. Contract duration | cancellation | termination for good cause | substitute participants
5.1. Where not otherwise explicitly agreed, agreements involving continuing education services shall be
in place up until the successful termination of the education program.
5.2. Cancellation of registration by the customer is only valid in written form. Every cancellation is
subject to an administrative fee of EUR 50.00. Up to 30 days prior to the beginning of a
course/program, ISNP will refund the registration fee minus the administrative fee, up to 10 days
prior to the beginning of a course/program, ISNP will refund 60% of the registration fee; for
cancellations less than 10 days prior to the beginning of a course/program, no refunds will be made.
5.3. ISNP is entitled to terminate immediately and unilaterally the contractual relationship with the
customer for good cause without notice. Good causes for immediate, unilateral contract termination
by ISNP include, but are not limited to, the customer’s repeated failure to pay, any violation or
severe infringement of the company’s intellectual property and copyrights according to section 7 of
these GTC, as well as any severe breach of trust in relation to the company.
5.4. If the customer intends to devolve his contractual rights, including participation in an education
program, to another person, the customer shall require the company’s consent in writing by letter,
fax or e-mail. In case ISNP consents to a substitute participant, who has been proposed by the
customer, the substitute participant may profit from services already paid for by the customer.
6. Program chances | availability of services
6.1. ISNP reserves the right to change services at its discretion, which includes ISNP’s right to change
ongoing programs. In case of substantive program changes, notably cancellation of programs or
live events, the customer shall not be entitled to reimbursement of the registration fee, whereas
ISNP shall be obliged to provide customers at a later date with the service of the quality and
standard as agreed upon by the parties.
6.2. Notwithstanding paragraph 6.1, ISNP reserves the right to withdraw or amend any service without
prior notice. The parties agree, that ISNP shall hold no responsibility for any loss or prejudice
resulting from the unavailability of a service.
6.3. Cancellation or postponement of a live event on the part of ISNP for good cause – including, but not
limited to the sudden illness of a lecturer or any contingency beyond reasonable control – does not
give rise to claims for damages or the right to reimbursement of the registration fee.
7. Intellectual property | copyright | trademarks
7.1. All content of ISNP’s website (including but not limited to design, text, software, drawings,
configurations, graphics, other files), as well as all program material, products or other services
offered by ISNP (including, but not limited to publications, multimedia e-learning material, research
findings, expert opinions, data storage mediums) are and remain the sole intellectual property of
ISNP or the lecturer, mandated by ISNP, respectively.
7.2. The content according to paragraph 7.1 may not be modified, copied, distributed, framed,
reproduced, republished, downloaded, displayed, posted, transmitted, or sold in any form or by any
means, in whole or in part, without ISNP’s prior written permission. The customer may download
and display content for use as education program participant, provided that such use is not
competitive with or derogatory to ISNP and/or the International Society of Neuropelveology.
7.3. Duplication (even for private purposes) or publication of any material disclosed to the customer or of
any data the customer has gained access to, is only permissible upon express, written authorisation
by ISNP.
7.4. Trademarks on ISNP’s website are either trademarks or registered trademarks of the company or
its licensors and may not be copied, imitated or used, in whole or in part, without the prior written
permission of ISNP. Other trademarks, registered trademarks, product names, and company names
or logos displayed on the website are the property of their respective owners.
7.5. In the case of a violation of these stipulations, ISNP shall be entitled to claim from the customer a
penalty in the amount of the fee the parties agreed upon for each individual event of violation. ISNP
expressly reserves the right to claim further damages.
8. Links and third party content
ISNP’s website and online services may contain material, data or information provided, posted or
offered by third parties, including but not limited to postings in online community discussions,
information by education program attendees or links to or from other websites. The aforementioned
material, data and links are provided by ISNP as a convenience and do not constitute an
endorsement, sponsorship or recommendation by ISNP of – or responsibility for - the linked
websites or any content, services or products available through such sites.
The customer acknowledges that ISNP is not responsible for any contents linked or referred to from
its website and online services and the customer agrees that neither ISNP nor its affiliates shall
have any liability whatsoever to the customer for any such third party material, data, products or
information.
9. Disclaimer | allocation of risks
9.1. ISNP’s website, online services, products and all content available through it are provided on an “as
is” and “as available” basis. ISNP reserves the right not to be responsible for the topicality,
correctness, completeness or quality of the information provided. The customer explicitly agrees
that use of ISNP’s website, online services, products and/or its content is at the customer’s sole
risk.
9.2. To the fullest extent permissible pursuant to applicable law, ISNP and its affiliates disclaim all
warranties of any kind, whether express nor implied, including without limitation any warranty of
merchantability, fitness for a particular purpose or non-infringement.
9.3. The customer agrees that use of ISNP’s website, online services and products, including all
content, data or software distributed by, downloaded or accessed from or through the website or
online services, is at the customer’s sole risk. The customer understands and agrees that he will be
solely responsible for any damage to his business, organisation, computer system or loss of data
that results from the download of such content, data and/or software.
10. Limitation of liability
10.1. ISNP or any speaker, presenter or author will hold no responsibility for any medical advice or
information given to anyone by any medical practitioner using the services and products offered by
the company.
10.2. Under no circumstances, including, without limitation, negligence, shall ISNP or its affiliates,
officers, directors, employees, agents or suppliers be liable for any direct, indirect, incidental,
special or consequential damages arising from or in connection with the use of or the inability to use
the products and services offered by ISNP or any content contained in ISNP’s websites and online
services, or resulting from unauthorized access to or alteration of the customer’s transmissions or
data, or other information that is sent or received or not sent or received, including but not limited to,
damages for loss of profits, data use or other intangibles, even if ISNP has been advised of the
possibility of such damages.
11. Data protection | privacy policy
11.1. The disclosure of all personal and business data on part of the user of the website or services of
ISNP occurs on an expressly voluntary basis. Third party use of contact details displayed on ISNP’s
website and services such as postal address, telephone and fax numbers as well as e-mail
addresses for the purpose of transmitting information not expressly requested by ISNP, is
prohibited. ISNP reserves the right to take legal action against senders of so-called spam mails in
case of violation of this prohibition.
11.2. The customer acknowledges and agrees that ISNP may use the data collected in the course of the
relationship between the parties for the purposes identified in ISNP’s privacy policy, which is
incorporated by reference as if fully set forth in these GTC.
12. Changes
ISNP reserves the right to amend or replace these General Terms and Conditions (GTC) at any
time. In case of substantial changes to the GTC, ISNP shall notify the customer by prominent notice
on the company’s website.
13. General applicable law | Jurisdiction | severability clause
13.1. These GTC and all legal relationships between the parties shall be governed by and construed in
accordance with the laws of Switzerland without giving effect to its conflict of laws provisions.
13.2. The parties agree on the exclusive jurisdiction of the competent Court of Zug, Switzerland, for all
disputes arising from the entire legal relationship between the parties, including but not limited to
these GTC, or its breach, dissolution or nullity.
13.3. Should any provision in these GTC or special terms agreed upon by the parties be or become
invalid or unenforceable for any reason, that provision shall be deemed severable from the terms
and shall not affect the validity or enforceability of the remaining provisions. Invalid or void
provisions are to be interpreted such that commercial and legal purposes are met. Furthermore, the
parties agree to replace invalid provisions with valid provisions which attain or come as close as
possible to the intended legal and commercial purpose.
13.4. The customer agrees that any claim arising out of or related to the terms or the customer’s use of
ISNP’s services and products must be filed within one year after it arose or be permanently barred.
